Terms of Service
1. Parties
This Terms of Service Agreement ('Agreement') is established electronically between Haneko Software and Technology ('Haneko', 'Company', 'We'), the operator of the Haneko platform, and the natural or legal person who registers on the Haneko platform to benefit from the services ('User', 'You'), upon the User's registration on the platform.
By registering on the platform and/or continuing to use the platform, the User represents, acknowledges, and agrees that they have read, understood, and accepted all provisions of this Agreement. This Agreement constitutes a distance contract within the framework of the Turkish Code of Obligations No. 6098 and the Law on the Regulation of Electronic Commerce No. 6563, and is binding between the parties.
2. Definitions
The terms used in this Agreement have the following meanings:
• Platform: All digital services offered by Haneko through web and mobile applications, including consulting service management, messaging, alarm and tracking systems, financial analysis, AI-powered recommendations, and reporting. • User: A natural or legal person who registers on the platform and benefits from the services. May be in a Company role or an Advisor role. • Company User: A natural or legal person who uses the platform as an organization/company receiving consulting services. • Advisor User: A natural or legal person who uses the platform as a professional providing consulting services. • Content: All data, documents, messages, files, and information uploaded, entered, or created by users through the platform. • AI Credit: A unit consumed for the use of AI-powered services, which can be purchased prepaid or billed at the end of the month under the flexible billing model. • Service: All software, analysis, communication, and reporting functions provided through the platform.
3. Scope of Service
Haneko is a cloud-based SaaS (Software as a Service) platform that enables digital management of processes between professionals providing consulting services and the organizations receiving these services.
The main services offered through the platform include: • Company and advisor matching and process management • Real-time messaging and communication infrastructure • Financial statement entry, analysis, and reporting • Health score calculation and company status assessment • Roadmap creation and tracking • Alarm and notification system • AI-powered recommendation, analysis, and assistant services • User and role-based authorization
Haneko reserves the right to update, modify, expand, or narrow the platform's functionality, features, scope, and technical infrastructure without prior notice. No guarantee is given that the platform will be continuously and uninterruptedly accessible; planned maintenance, updates, or interruptions due to force majeure may occur.
4. User Obligations
The User agrees and undertakes to comply with the following obligations when registering on the platform and using the platform:
a) Accuracy of Registration Information: The User represents that all information provided during and after registration is accurate, current, and complete. The User is solely responsible for any consequences arising from providing false or misleading information.
b) Account Security: The User is exclusively responsible for the confidentiality and security of their username and password. Account credentials may not be shared with third parties. The User is obligated to immediately notify Haneko upon becoming aware of any unauthorized use of their account.
c) Legal Compliance: The User shall use the platform in compliance with all applicable national and international legislation. The platform shall not be used for illegal, fraudulent, or harmful activities.
d) Content Responsibility: The User is personally responsible for the legality, accuracy, and non-infringement of third-party rights of all content uploaded, entered, or shared on the platform.
e) Technical Integrity: The User shall not engage in any activity that would damage the platform's technical infrastructure, create security vulnerabilities, or disrupt the normal operation of the service. Activities such as reverse engineering, source code extraction, and automated data collection (scraping/crawling) are strictly prohibited.
f) Third-Party Rights: The User may not use, copy, or share other users' personal data, trade secrets, or confidential information outside the purpose of the platform.
5. Pricing and Payment
Different pricing models may apply for the platform's core features and AI-powered features.
a) AI Credit System: The use of AI-powered services (recommendations, analysis, assistant, etc.) is carried out through AI Credit consumption. AI Credits can be obtained in two ways: • Monthly Subscription: The User subscribes to a monthly plan offered on the platform. The subscription fee is charged every month to the saved card through the payment provider (iyzico), and the plan's credits are added to the account. The subscription renews automatically each month until cancelled. Subscription credits not used during the period are reset at the end of the period and do not carry over. Cancellation and plan changes take effect at the end of the period; if cancelled, the current period's credits remain usable until the period ends. • Add-on Pack: Independently of the subscription, the User may purchase one-time credit packs. Add-on pack credits have no expiration date. AI services use subscription credits first, then add-on pack credits. AI services are paused when the total balance reaches zero.
b) Price Changes: Haneko reserves the right to change its pricing policy and fee schedules. Price changes will be communicated to the User at least 30 (thirty) days before they take effect, through the platform or by email.
c) Refund Policy: Unused AI credits purchased as an add-on pack may be refunded within 14 (fourteen) days from the date of purchase. No refunds are made after this period. Refunds of monthly subscription fees and the right of withdrawal are assessed separately under applicable law; no refunds are available for credits already consumed.
d) Taxes: All prices exclude taxes unless otherwise stated. Applicable VAT and other legal deductions will be added to the invoice amount.
6. Artificial Intelligence (AI) Services
The Haneko platform offers users various AI-powered services. The following provisions apply to the use of these services:
a) Nature of AI Services: All outputs generated by artificial intelligence (recommendations, analyses, reports, scores) are for informational and decision-support purposes only. They do not constitute financial, legal, investment, or professional consulting services. The User is responsible for using AI outputs at their own judgment and making final decisions themselves.
b) Accuracy Guarantee: AI services are based on machine learning models and algorithmic calculations. Haneko does not guarantee that AI outputs will always be accurate, complete, or up-to-date. Haneko cannot be held responsible for consequences arising from decisions made based on AI outputs.
c) Data Processing: For the provision of AI services, data entered by the User into the platform is processed by automated systems and algorithms. This processing activity is carried out solely based on the User's acceptance of the 'Explicit Consent Text'.
d) Third-Party AI Providers: Haneko may use third-party AI infrastructure providers (API services) in providing AI services. In this context, user data may be transferred to relevant providers under the conditions specified in the Privacy Policy and Explicit Consent Text.
e) Usage Limits: In case of misuse of AI services (excessively abusive requests, uses aimed at harming the platform, attempts to generate illegal content), Haneko may temporarily or permanently restrict the relevant User's access to AI services.
7. Intellectual Property Rights
a) Platform Rights: The design, source code, algorithms, database structure, graphic interfaces, logos, trademarks, and all other intellectual and industrial property rights of the Haneko platform exclusively belong to Haneko and are protected under the Turkish Intellectual and Artistic Works Law No. 5846, the Industrial Property Law No. 6769, and relevant international agreements.
b) User Content: Users retain their intellectual property rights over the content they upload to the platform. However, the User is deemed to have granted Haneko permission to use this content for the purpose of providing the service (viewing, processing, storage, AI analysis, etc.) and to process it within the platform's scope.
c) License Restrictions: The User is granted a personal, non-exclusive, non-transferable, and revocable license to use the platform. This license does not include the right to reproduce, distribute, reverse engineer, extract source code, modify, or create derivative works of the platform.
d) AI Outputs: Outputs generated by artificial intelligence (reports, recommendations, analyses) are free for the User's own internal use. However, the direct or indirect sale, licensing, or marketing of these outputs to third parties for commercial purposes is prohibited.
8. Confidentiality
a) Confidential Information: The parties undertake to keep confidential and not share with third parties all trade secrets, financial information, customer lists, technical data, business strategies, and any other non-public information ('Confidential Information') obtained about each other within the scope of this Agreement or during platform use.
b) Exceptions: The confidentiality obligation does not apply in the following cases: • The information was already publicly available at the time of disclosure or subsequently became public without fault of the receiving party • The information can be proven to have been independently developed by the receiving party • The information must be disclosed by legal obligation pursuant to a competent authority or court order, only to the extent necessary
c) Duration: This confidentiality obligation shall continue to remain in effect for 3 (three) years from the termination of the Agreement for any reason.
9. Personal Data Protection
a) All principles regarding the collection, processing, storage, and transfer of Users' personal data are regulated in detail in the Privacy Policy, which is an integral part of this Agreement. The User represents that they have read and accepted the Privacy Policy.
b) Haneko acts as the data controller in compliance with the Turkish Personal Data Protection Law No. 6698 ('KVKK') and related secondary legislation.
c) Processing activities requiring explicit consent, such as AI services and international data transfers, are carried out solely upon the User's approval of the relevant Explicit Consent Text in electronic form.
d) The User may exercise all rights under KVKK Article 11 (information, correction, deletion, objection, etc.) through the communication channels specified in the Privacy Policy.
10. Limitation of Liability
a) Liability Cap: Haneko's total liability under this Agreement is limited to the total amount actually paid by the User to Haneko in the 12 (twelve) month period preceding the event giving rise to the damage.
b) Excluded Damages: Under no circumstances shall Haneko be liable for the following types of damages: • Indirect, incidental, special, or punitive damages • Loss of profit, business loss, reputational damage, or data loss • Damages arising from the User's use of the platform in violation of law or this Agreement • Damages arising from decisions made by the User based on AI outputs • Damages arising from interruptions or malfunctions caused by third-party service providers (internet, cloud infrastructure, payment systems, etc.) • Damages arising from force majeure events
c) Service Level: The platform is provided 'as-is' and 'as-available'. Haneko makes no express or implied warranty that the platform will be uninterrupted, error-free, or completely free of security vulnerabilities.
d) Indemnification Obligation: The User agrees and undertakes to indemnify and hold Haneko harmless against any and all claims, lawsuits, damages, and expenses arising from the User's use of the platform in violation of the Agreement or the law, content uploads, or infringement of third-party rights.
11. Force Majeure
Neither party shall be held responsible during periods where they cannot fulfill their obligations under the Agreement due to force majeure events that develop beyond the parties' control, are unforeseeable and unpreventable, including natural disasters (earthquakes, floods, fires), pandemics, war, terrorism, civil unrest, strikes, lockouts, regulatory changes, government interventions, cyber attacks, widespread internet infrastructure outages, power outages, service interruptions of third-party service providers, and similar events.
If the force majeure event exceeds 60 (sixty) days, either party has the right to terminate the Agreement without any compensation obligation.
12. Termination
a) Termination by User: The User may unilaterally terminate the Agreement at any time by closing their account or through the settings on the platform. Termination takes effect within a reasonable period following the processing of the request.
b) Termination by Haneko: Haneko may suspend the User's account or immediately terminate the Agreement in the following cases: • Violation of the provisions of this Agreement by the User • Detection of the platform being used for illegal, fraudulent, or malicious purposes • Determination that the User has harmed or attempted to harm other users or the platform infrastructure • Request from legal authorities or court order
c) Consequences of Termination: In the event of termination of the Agreement: • The User's access to the platform terminates immediately. • The User's data stored on the platform will be deleted or anonymized within a reasonable period, subject to retention periods prescribed by KVKK and applicable legislation. • The User may request a copy of their data before the termination date. • Unused prepaid AI credits will be refunded in cases of termination not caused by the User's own fault. • The Confidentiality, Intellectual Property, Limitation of Liability, and Governing Law provisions shall continue to remain in effect after the termination of the Agreement.
13. Governing Law and Jurisdiction
This Agreement is subject to the laws of the Republic of Turkey and shall be interpreted in accordance with Turkish law.
Istanbul Courts and Enforcement Offices have jurisdiction over all disputes arising from or related to the Agreement.
For disputes of a consumer transaction nature, Consumer Arbitration Committees have jurisdiction within the monetary limits set by the Consumer Protection Law No. 6502 and related regulations, and Consumer Courts have jurisdiction for disputes exceeding these limits.
14. Changes and Effective Date
Haneko reserves the right to unilaterally amend any provision of this Agreement, in whole or in part.
Changes take effect on the date they are published on the platform. Users will be informed of significant changes at least 15 (fifteen) days in advance through in-platform notifications and/or email.
By continuing to use the platform after the changes take effect, the User is deemed to have accepted the updated Agreement provisions. Users who do not accept the changes have the right to terminate the Agreement and close their account.
